I think winamp has an option to convert mp3 to wav, maybe there is one for wav to mp3. There is an download on www.download.com called wav2mp3, I think. I'm not for shure though.

MusicMatch jukebox can do that (at least, the version I have can), and it's a free download. It converts between various common sound formats in whatever bitrate you choose.

Also there is the great CDex - freeware, google for it: it converts WAV to MP3, and MP3 to WAV and it can rip CD's.
