I like how the face looks RPG-ish, it's cute.

I tried my hand on a quick paintover, though I might have gone too far from the original style.
Still, some pointers:
* Use less saturated colors
* Give hime him a neck
* Lower his waistline and shorten his legs a bit
* Lengthen the arms

I hope it helps.

What's great about any "generic", low-palette characters is that they make good templates- you could populate a whole game world with these guys, giving each one a unique set of clothing.

What leads to: The character looks nice and clean, but should have something a bit more special- a logo on the sweater, knee patches, something like that.

Cino's paintover is extremely good and should serve you well; I'd just make the legs a little bit longer (two pixels should be enough) to get rid up the slight "eagle eye POV" (RPG Maker Syndrome). I would also add two pixels to his face to give him a nose.

I like your first sprite better.  It's cute and, more importantly, original.  It's pretty clear that your second sprite is a Roger Wilco paintover.

I pretty much agree with Cino's advice.  I don't think that desaturating the colors is necessary, though, if the rest of the game has bright colors, too.  You could also try making the character look like a chibi sprite from an older RPG.

A type of japanese trademark  ;) - not to be mistaken with super-deformed, by the way.

Here's the Wiki definition (http://en.wikipedia.org/wiki/Chibi)

The german version has a picture... (http://de.wikipedia.org/wiki/Chibi)
