There are some things that should be fixed, like the white pixels between the blue lines, and current shading makes him look like the gingerbread man. Also, the blue "ghostly" lines would look better if they were thicker on the outside part of LeChuck. And maybe if they were made out of a 2-3 color gradient...
Also, animating him is going to be a bi*ch, unless you converted him into vectors.
So "your version" is a blue outlining?

i have been working on the concept of crower for five months and i am still working on him.
if it weren't for tracing paper and animation shop , i don't know what i would do. ;D
If your just going to trace it and make it look the same as the original then why not just do a screenshot and use the original? It still violates copyright if you trace someone elses work. Even if you didn't trace it and just drew it the same by looking at the screen and drawing it out freehand it is still the same sprite. Don't waste your time just grab some screenshots and use those.

Well, assuming thatthe bluish outline is supposed to be a gostly glow, you may want to add a highlight to it, to make it more glow-ey.
Next up is his beard. Right now, I find it looks too "poofy" and not scragly enough.
Tried a really rough paintover, and this is what I came up with, to give you an idea of what I'm talking about:

Not sure if having the glow come from around the outline of the gloves, top of the coat cuffs, belt and shoulder strap really looks all that good, though. I'd think they'd look better in black or darker versions of the colour (i.e., darker orange around the belt buckle, darker brown around the belt, etc.)...
The reason it looked so "poofy" was because the beard was meant to be made of fire in the Curse of Monkey Island.

just a quesiton, if you re-did it all yourself, why would you draw the beard with fire and then colour over it, wouldnt it have made more sense just to draw a black beard? anyways, I like ozzies. there is still soemthing missing from it, ill have a go in a minute

I like Ozwalled's version but there's one crit for both OZ and Fawfulhasfury's versions of LeChuck. If LeChuck is a ghost he should have a nose. Ok, so LeChuck missing a nose when you see his head fly at the camera at the end you see that LeChuck does have a nose throughout the game. Also in MI4, LeChuck's ghost form does have a nose, so you better add the nose to Ghost-pirate LeChuck. Also the "flame" on the hat should be replaced with a feather.
Make the coat more of ghostlike blue instead of red. The same goes to the hat.
I think fawlful really ought to be given a break, this is a very nice sprite!
I'd be surprised if there's an AGSer who hasn't tried imitating the pros in order to improve their artwork. I know I've tried to draw CMI's LeChuck before.
The only thing I'd suggest is making that teal outline darker, so it's less noticeable, or much lighter so it's clearly an ethereal glow.
to Oz: nice paintover. i will try to change the sprite to those specifics
to Zootyfruit: I kept the beard looking poofy cause I am going for a ice fire look. you see, my version is supposed to be sort of an icy ghost
to Mats Berglinn: well, I know the original had a nose, but i thought seeing as how i was trying to make a completely new LeChuck the skull head would make him look scaryer

I think this is great, despite how you may have made it. Just remember, in your game, set LeChuck's transparency to about 70 %.
If you're thinking of making the beard ice-looking, I'd fully suggest that it's made of shiny, dangling icicles.

EDIT: Hm. I wonder if he looks too "Santa"-ish now, though.... Then again, could make for some good jokes in the game.
Also, IS it supposed to be a glow around him, or is he supposed to be, like, encased in ice or something?
EDIT: If it IS a glow, as I suspect, then a nice in-game effect might be for it to slowly "throb" a bit, both in size and brightness. And for that matter, it could get even bigger and brighter when you're doing some sort of "angry" or "aggressive" animation. Just some ideas.

but if your going for an icy look, dont you think that the red coat wouldn't fit his icy personalty. I think that the coat should be a colder color.

Personally, I don't much like the white coat and blue/ cyan pants... maybe a navy blue?... Or possibly just a cooler red (coat) and brown (pants), even?
